These Terms of Use (“Terms”) govern your access to and use of the PickupHub website, applications, services, and related features (collectively, the “Service”) provided by PickupHub Inc. (“PickupHub,” “we,” “us,” or “our”).
By creating an account, accessing or using the Service, or registering for a game, activity, or session through PickupHub, you agree to these Terms. If you do not agree to these Terms, you must not use the Service.
We may update these Terms from time to time. When we make material changes, we will update the effective date and provide notice where appropriate. Your continued use of the Service after updated Terms take effect constitutes your acceptance of those Terms.
Activity Rules
Members participating in games, activities, or sessions registered through PickupHub are responsible for determining whether they are physically able to participate safely. PickupHub does not assess or verify a Member’s health, fitness, medical condition, or ability to participate.
Members must comply with all rules and instructions established by the facility, municipality, organization, game organizer, or other entity responsible for operating the activity (“Organizer”), including rules relating to conduct, safety, equipment, eligibility, and facility use.
Members must behave respectfully toward other participants, facility staff, organizers, and PickupHub staff. Threatening, abusive, discriminatory, violent, dangerous, fraudulent, or otherwise inappropriate conduct may result in removal from an activity and/or restrictions on the Member’s PickupHub account.
Members may only participate in activities for which they are properly registered, unless otherwise permitted by the Organizer. Registrations may not be transferred to another person except through functionality or procedures expressly permitted by PickupHub or the Organizer.
Members are responsible for bringing any equipment, clothing, protective equipment, hydration, or other items required to participate safely.
Account Restrictions, Suspension and Termination
PickupHub may restrict access to particular features, suspend an account, or terminate an account where a Member violates these Terms, repeatedly disregards rules established by PickupHub or an Organizer, engages in conduct that may harm other Members, Organizers, PickupHub, or the Service, or uses the Service in a fraudulent, abusive, disruptive, or unlawful manner.
Where appropriate, PickupHub may provide a warning or impose a more limited restriction before suspending or terminating an account. However, PickupHub may take immediate action where reasonably necessary based on the nature or severity of the conduct.
Assumption of Risk
Participation in sports and recreational activities involves inherent risks, including the risk of property damage, personal injury, serious injury, illness, disability, or death. By registering for or participating in an activity, the Member acknowledges and voluntarily assumes the risks associated with participation.
PickupHub provides technology that facilitates the discovery, registration, administration, and payment of games and activities. Unless expressly stated otherwise, PickupHub does not operate, supervise, control, or provide the facilities in which activities take place.
Games and activities may be operated by municipalities, facilities, organizations, clubs, or other third-party Organizers. Members are responsible for complying with any additional waivers, rules, eligibility requirements, or terms imposed by the applicable Organizer.
To the maximum extent permitted by applicable law, PickupHub shall not be responsible for injury, illness, death, property damage, loss, or other harm arising from a Member’s participation in an activity except to the extent that such liability cannot lawfully be excluded.
Payments, Cancellations and Credits
Prices, cancellation deadlines, and other registration conditions may vary by game or activity and will be displayed through the Service where applicable.
When registering for an activity, a Member’s payment method may be charged immediately or may be pre-authorized for a future charge, depending on the activity and payment method.
By providing a payment method and completing a registration, the Member authorizes PickupHub and its payment processor to charge or pre-authorize that payment method for amounts associated with the registration in accordance with the pricing, cancellation policy, and other conditions presented at the time of registration.
If a Member cancels within the cancellation period displayed for the activity, the Member will not be charged or, where applicable, will receive a refund or PickupHub credit in accordance with the cancellation policy displayed at the time of registration.
If a Member cancels after the applicable cancellation deadline, does not attend, or otherwise fails to comply with the cancellation requirements, the applicable registration amount may be charged and may not be eligible for a refund or credit.
If an activity is cancelled by the Organizer or PickupHub before it takes place, any applicable pre-authorization will normally be released or the Member will receive a refund or credit, as appropriate.
PickupHub credits may be subject to restrictions, including restrictions on which Organizer they may be used with. Unless otherwise required by law, credits are not redeemable for cash and may only be used for eligible registrations through PickupHub.
Additional payment, cancellation, refund, or credit conditions displayed when registering for an activity form part of these Terms.
Comments, Messages and User Content
PickupHub may allow Members to post comments, messages, reviews, profile information, or other content (“User Content”) through the Service. Members are responsible for the User Content they submit and must use these features in a respectful manner and for their intended purpose.
Comments associated with a game or activity are intended primarily for communication relevant to that specific game or activity. This may include questions, updates, attendance information, coordination between participants, or other information reasonably related to the game or activity.
Members may not use comments or other communication features to post spam; repeatedly post the same or substantially similar content; advertise, promote, solicit, or recruit for unrelated or external groups, organizations, services, events, products, or businesses; harass or threaten others; impersonate another person; post unlawful, misleading, discriminatory, abusive, obscene, or otherwise inappropriate content; interfere with the normal use of the Service; or use the communication features in a manner inconsistent with their intended purpose.
PickupHub recognizes that Members may communicate and form relationships outside of the Service. Incidental sharing of external contact information or links as part of a legitimate conversation between Members is permitted. However, Members may not use PickupHub’s game comments primarily or repeatedly as a means of recruiting Members to external groups, platforms, services, or communities without PickupHub’s permission.
PickupHub reserves the right, but is not obligated, to review and moderate User Content. PickupHub may edit, hide, restrict, or remove any User Content at its discretion where PickupHub reasonably believes the content violates these Terms, is inappropriate for the feature in which it was posted, is disruptive to Members or the operation of the Service, or is otherwise contrary to the interests of the PickupHub community.
PickupHub may restrict, suspend, or permanently disable a Member’s ability to post comments or use other communication features if the Member violates these Terms or repeatedly uses those features in a manner inconsistent with their intended purpose. PickupHub may take such action with or without prior warning, depending on the nature, frequency, or severity of the conduct.
Serious or repeated violations may also result in suspension or termination of the Member’s PickupHub account in accordance with these Terms.
Members should not assume that User Content will remain available indefinitely. PickupHub may remove User Content as part of moderation, account management, maintenance of the Service, or for other operational or legal reasons.
Website Terms
Member Accounts
Members must provide accurate and current information when creating and maintaining an account. Members are responsible for maintaining the security of their account and for activity performed through their account.
Members must not impersonate another person, create an account using materially false information, or permit another person to use their account in a manner that circumvents PickupHub’s registration, eligibility, payment, or safety requirements.
Certain accounts may be connected to family members, parents, guardians, organizations, or other authorized users. Access available through a connected account must only be used for its intended purpose.
Youth Accounts
PickupHub may permit a parent, guardian, or other authorized adult to create, connect to, or manage an account or registration for a minor.
The adult creating or managing the account represents that they have the authority to provide the minor’s information and register the minor for applicable activities.
Additional eligibility requirements, waivers, permissions, or conditions may be established by the Organizer responsible for the activity.
Profile Information & Visibility
PickupHub may display certain Member information to other Members, Organizers, or the public as part of operating the Service. This may include a Member’s name or abbreviated name, profile information, participation in games or activities, and other information associated with their PickupHub account.
The information displayed depends on the Member’s privacy settings, the features being used, and the information required to administer an activity.
When a Member registers for an activity, certain information may be visible to the Organizer, facility staff, administrators, and other participants as reasonably necessary to operate the activity.
Members can manage available profile privacy options through their account settings. Additional information about PickupHub’s collection, use, disclosure, and protection of personal information is available in our Privacy Policy.
Licence to User Content
Members retain any ownership rights they have in User Content they submit.
By submitting User Content through the Service, the Member grants PickupHub a non-exclusive, royalty-free licence to host, store, reproduce, display, distribute, and otherwise use that User Content as reasonably necessary to operate, provide, moderate, maintain, and improve the Service.
Organizers and Facilities
Games and activities available through PickupHub may be offered, programmed, managed, or operated by third-party municipalities, facilities, organizations, clubs, and other Organizers.
The Organizer, rather than PickupHub, is generally responsible for the operation of the activity, including programming decisions, facility conditions, staffing, supervision, participant eligibility, activity-specific rules, and conduct at the facility.
PickupHub may communicate with an Organizer or provide Member information to the Organizer as reasonably necessary to administer registrations, payments, participation, customer service, safety, or other aspects of an activity.
An Organizer may establish additional terms, rules, waivers, cancellation policies, or eligibility requirements applicable to its activities.
Description of Service
PickupHub provides an online platform that allows Members to discover, register for, pay for, and manage participation in sports, recreational activities, and related programs.
PickupHub also provides technology and administrative tools to municipalities, facilities, organizations, clubs, and other Organizers that offer or administer activities through the Service.
Unless expressly stated otherwise, PickupHub acts as a technology and registration platform and is not the operator of the facility or Organizer of the activity. The applicable Organizer is responsible for matters such as programming, scheduling, supervision, staffing, facility operations, and activity-specific rules.
Features and functionality available through the Service may vary between Members, Organizers, activities, and locations.
Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, PickupHub makes no representations or warranties, express or implied, regarding the availability, reliability, accuracy, completeness, or suitability of the Service.
PickupHub does not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times.
Information concerning activities, facilities, schedules, availability, pricing, eligibility, or other Organizer-provided information may be supplied by third parties. While PickupHub may take reasonable steps to maintain accurate information, PickupHub cannot guarantee the accuracy of all information supplied by Organizers or other third parties.
Limitation of Liability
To the maximum extent permitted by applicable law, PickupHub and its directors, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the use of the Service.
PickupHub will not be responsible for losses resulting from the acts or omissions of an Organizer, facility, other Member, or third party, or from a Member’s participation in an activity, except to the extent such liability cannot lawfully be excluded or limited.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
Indemnification
To the extent permitted by applicable law, the Member agrees to indemnify and hold harmless PickupHub Inc., its affiliates, directors, officers, employees, and contractors from claims, liabilities, damages, losses, and reasonable costs arising from the Member’s material violation of these Terms, unlawful use of the Service, or infringement of the rights of another person.
Modifications and Interruption to Service
PickupHub may add, modify, suspend, or discontinue features or portions of the Service from time to time.
PickupHub does not guarantee continuous or uninterrupted availability of the Service. Access may be affected by maintenance, technical problems, third-party services, Internet availability, security incidents, events outside PickupHub’s reasonable control, or other circumstances.
PickupHub will make reasonable efforts to maintain the availability and reliability of the Service but will not be liable for temporary interruptions except where required by applicable law.
Third-Party Sites
The Service may contain links to, integrate with, or rely upon websites, payment processors, mapping services, authentication providers, or other services operated by third parties.
PickupHub does not control these third-party services and is not responsible for their availability, content, security, privacy practices, or operation.
Use of a third-party service may be subject to that third party’s own terms and privacy policies.
Organizer Information
Information about games, activities, facilities, schedules, pricing, eligibility requirements, rules, and other program details may be provided by the applicable Organizer.
PickupHub may assist Organizers in displaying and administering this information but does not guarantee that all Organizer-provided information is complete, accurate, or current.
If there is a conflict between information displayed through PickupHub and instructions provided directly by an Organizer concerning the operation of an activity, Members should contact the Organizer or PickupHub for clarification.
Governing Jurisdiction of the Courts of the Province of Ontario
These Terms and any dispute arising from or relating to these Terms or the Service will be governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.
Subject to any rights available under applicable law, the parties submit to the jurisdiction of the courts of Ontario.
Compliance with Laws
Members must use the Service in compliance with all applicable municipal, provincial, federal, and other laws and regulations.
Members must not use the Service to engage in, facilitate, encourage, or promote unlawful activity.
Copyright and Trademark Information
Except for User Content and content owned by third parties, the Service and its content, software, design, branding, graphics, interfaces, logos, trademarks, and other materials are owned by or licensed to PickupHub Inc. and are protected by applicable intellectual property laws.
Members may use the Service only for its intended purposes. No portion of the Service may be copied, reproduced, modified, distributed, sold, commercially exploited, scraped, or systematically extracted without PickupHub’s prior written permission, except as permitted by applicable law.
Members may not use automated systems, bots, scrapers, or similar technologies to access or collect information from the Service in a manner that places an unreasonable burden on the Service, circumvents access restrictions, or violates these Terms.
Notification of Claimed Copyright Infringement
If you believe content available through PickupHub infringes your copyright or other intellectual property rights, please contact PickupHub and provide sufficient information to identify the content and explain the basis of your concern.
PickupHub may remove or restrict access to content where appropriate.
Privacy
PickupHub’s collection, use, disclosure, retention, and protection of personal information is described in our Privacy Policy.
By using the Service, Members acknowledge that their personal information will be handled in accordance with the Privacy Policy and applicable privacy laws.
Information may also be provided to an Organizer where reasonably necessary to administer a Member’s registration or participation in an activity, as further described in the Privacy Policy.
Electronic Communications
By creating an account and using the Service, Members agree that PickupHub may send transactional and service-related communications concerning their account, registrations, payments, activities, security, and use of the Service.
Depending on the Member’s preferences and applicable law, PickupHub may also send optional notifications or marketing communications. Members may manage eligible communication preferences through their account or by using the unsubscribe options provided.
Certain essential account, security, transactional, or activity-related communications may not be disabled while maintaining an active account.
General Provisions
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect.
PickupHub’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or PickupHub’s right to enforce it later.
PickupHub may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or similar transaction.
These Terms, together with the Privacy Policy and any additional terms or policies presented in connection with a particular activity or feature, constitute the agreement between the Member and PickupHub concerning use of the Service.
